Welcome to Aquila Design Agency! By accessing our website at aquiladesign.co, you agree to be bound by these Terms of Service (ToS), all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. 1. Services
Aquila Design Agency provides comprehensive web design and development services aimed at helping clients establish and enhance their online presence. Our services are detailed on our website and are subject to the terms outlined below.
2. Payment
- Fees: Clients agree to pay the Designer a fixed fee as agreed upon for specific projects. Full payment details and schedules are provided prior to the commencement of any work.
- Invoices: Payment is due within 3 days of invoice receipt. Late payments will incur a late fee of 15% per month on the outstanding amount.
3. Ownership and Licenses
- Work Product Ownership: Upon full payment, the client will own all rights, titles, and interests in the work products created by the Designer, including all intellectual property rights. The client has the freedom to use or modify the work products as they see fit.
- Designer's Use of Work Product: The Designer retains the right to display the work product in their portfolio and on websites, in galleries, and other media solely for showcasing the work unless otherwise agreed upon.
- Background IP: The Designer retains all rights to intellectual property owned prior to or developed independently of this engagement, known as "background IP". The client receives a right to use and license this background IP in connection with the services provided.
4. Client Responsibilities
Clients are responsible for providing all necessary materials required for the project and for responding promptly to communications from the Designer to ensure timely progress.
5. Term and Termination
- Contract Duration: This agreement remains in effect until the services are completed and delivered.
- Termination: Either party may terminate the contract with a notice period of 7 days. Specific terms related to termination and any applicable fees are outlined in the individual project agreement.
6. Confidential Information
Both parties agree to treat all confidential information with the same degree of care as their own confidential information. Confidential information must not be disclosed to third parties without prior written consent.
